1. Acceptance of Terms

By accessing or using the JA Tech & Services website ("Site") or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Site or our services.

2. Our Services

JA Tech & Services provides brand approval consulting, including direct outreach to brand partners, negotiation of authorization terms, and supporting documentation. Specific deliverables, fees, and timelines are set out in the written engagement agreement for each client.

3. Eligibility

Our services are intended for established businesses with a legitimate sales operation. You represent that you have the authority to enter into this agreement on behalf of your business.

4. Fees & Payment

Fees are detailed in your engagement agreement. One-time packages are non-refundable once brand outreach has begun. Monthly retainers may be cancelled with 30 days' written notice; no penalty applies, and no further fees will be charged after the notice period ends.

5. Client Responsibilities

You agree to:

• Provide accurate and complete information about your business, brand portfolio, and sales channels.
• Respond to communications and information requests within reasonable timeframes so engagements stay on schedule.
• Operate in compliance with brand partner terms, marketplace policies, and applicable law.

6. No Guarantee of Specific Brands

While we only pursue brands where relationships make approval highly likely, we cannot guarantee that any specific brand will approve your application. Where a brand declines, our replacement-brand guarantee applies as described in the engagement agreement.

7. Intellectual Property

All content on the Site, including text, graphics, and logos, is the property of JA Tech & Services or its licensors and is protected by applicable intellectual property laws. You may not reproduce or distribute Site content without our written permission.

8. Confidentiality

Information shared between us during the course of an engagement is treated as confidential. Each party agrees not to disclose the other's confidential information except as required to perform the services or by law.

9. Limitation of Liability

To the maximum extent permitted by law, JA Tech & Services shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Site or our services. Our total liability for any claim shall not exceed the fees paid by you for the services giving rise to the claim.

10. Governing Law

These Terms are governed by the laws applicable to JA Tech & Services' jurisdiction of operation. Any dispute arising out of or relating to these Terms shall be resolved in the courts of that jurisdiction.

11. Changes to These Terms

We may revise these Terms from time to time. Continued use of the Site or our services after changes are posted constitutes acceptance of the revised Terms.
